Mr. David DiFelice has over 25 years of experience in helping aggressively grow technology-focused organizations toward monetizing transactions. He has been instrumental in helping organizations make the transformation from opportunistic (early stage) to strategic (rapid growth stage) approaches to conducting business by providing appropriate financial infrastructure to help facilitate the necessary changes.

Mr. DiFelice began his career in public accounting spending six years with Deloitte & Touche focusing primarily on the large publicly traded financial clients of the Philadelphia office of that firm. He left public accounting to enter the venture capital market and worked for seven years with Safeguard Scientifics, Inc., one of the largest VC firms on the east coast. While at Safeguard, he worked on acquisitions, capital restructurings, dispositions, and provided financial consulting services to subsidiaries and investment portfolio companies.

Mr. DiFelice left Safeguard to become Chief Financial Officer for Assessment Systems, Inc., a Safeguard investment portfolio company. Since that time, Mr. DiFelice has served as Chief Financial Officer for numerous other organizations. Virtually all of these companies have experienced significant (25% to 40% annual) revenue growth while consistently increasing operating profits and shareholder value. Mr. DiFelice has participated on four successful exits, all of which were at significantly higher valuations than when he joined the organizations. Distributions to shareholders from the sales of these companies exceed $200,000,000.

In the course of these experiences, Mr. DiFelice has prepared three registration documents (SEC form S-1) in anticipation of initial public offerings. He has also prepared and presented the financial justification to investors (IPO road show) in conjunction with an intended public offering. Currently, Mr. DiFelice prepares all of the SEC filings for Defense Solutions, a publicly traded company. He has also negotiated numerous sales of companies structured both as stock and cash transactions.

Mr. DiFelice is the Chief Financial Officer for Defense Solutions, Inc. In November, 2008, he guided Defense Solutions through a reverse merger resulting in the formation of a public company currently traded on the NASDAQ Bulletin Board.

Mr. DiFelice is a Certified Public Accountant and graduated summa cum laude from Drexel University with a B.S. in Business Administration.
